Balmve Partner Agreement
Fields in double braces are filled in by the app when you sign.
Agreement version: Agreement 1, Schedule A 1
Effective date: (the day you sign)
This agreement is between EPETAH LLC, doing business as Balmve ("Balmve", "we", "us"), 30 North Gould Street, Sheridan, Wyoming 82801, USA, and (your legal name) ("you", the "Partner"), email (your email).
Schedule A, after this agreement, is part of it. It has two parts: A1, the Program Terms, and A2, the Fair Play Rules.
1. What this agreement is
1.1 You promote Balmve products with links we give you in Balmve Partners (the "App"). You do this as an independent contractor. You are not our employee, agent or legal representative.
1.2 You must be at least 18, give us accurate details when you apply, and follow this agreement and the law. We may check that you are eligible before we approve you.
1.3 Words used in this agreement:
- Program: your level. It is Affiliate, Affiliate Plus or Affiliate Pro.
- Program Terms: Schedule A1, the rates, limits and move-up rules for each Program.
- Link: a referral link we issue to you, to one of your videos, or to a campaign.
- Own Video: a video you make yourself on Affiliate Plus or Affiliate Pro. It is not a Pay Per Brief job.
2. Your Program
2.1 We set your Program when we approve you. Today it is (your level). The App always shows your Program and its current terms. A change of Program applies to new activity from the date we give you. It never changes commissions or video fees you have already earned.
2.2 Affiliate partners earn commission on eligible sales. Affiliate Plus and Affiliate Pro partners earn commission and a fee for each approved Own Video, within the Program Terms.
2.3 Reaching a sales threshold in Schedule A1 makes you eligible for review for the next Program. Thresholds count all your attributable product sales over your whole time with us, with refunded sales taken out. They are not based on a rolling period. Moving up is not automatic. We tell you about any move up or down and the date it applies.
2.4 Pay Per Brief is optional and separate. Being picked for it, or a badge in the App, does not by itself mean you will get paid briefs. Before your first paid brief you sign the Pay Per Brief Add-on, and you accept or decline each brief on its own.
3. What you earn
3.1 You earn the commission rate and, on Affiliate Plus and Affiliate Pro, the Own Video fee in Schedule A1 that applies when the sale or the approval happens. We do not promise any sales, views, minimum earnings or number of approved videos.
3.2 Only approved Own Videos count toward your paid videos for the month. We may decline a video that does not meet its brief, the law or our content standards, as set out in section 6.
3.3 Commission is worked out on the product value of the order only. Taxes, shipping, refunds, chargebacks and other charges that are not products are left out. The product value is what the customer actually paid for the products, after discounts. No commission is earned on store credit used or on gift card purchases.
4. How we track sales
4.1 Each Link tells us it is yours, and for a video Link, which video. You earn commission on an eligible new customer's first order when they place it within 30 days of clicking a valid Link and our tracking records the order to you.
4.2 A customer who has ordered from Balmve before is not new. Later orders and subscription renewals earn no commission. Only a new customer's first qualifying order can earn commission.
4.3 If more than one partner's Link or code could claim a sale, the last valid tracked click within 30 days before the order decides. If tracking is blocked or missing, no commission is due unless we can confirm the sale was yours another way. This applies even when each video has its own Link.
4.4 A cancelled, fraudulent, refunded or charged-back order earns no commission. We may reverse that commission, including as a line on a later payout. We never take it out of unrelated video fees you have earned.
4.5 The App shows your sales and earnings, and each payout has a statement. If a commission is missing, tell us in App chat within 30 days of the order date, naming the order. If anything else looks wrong, tell us in App chat within 30 days of the statement, naming the order or payout. We look into it fairly and tell you what we decided. Missing these windows does not take away any right the law says cannot be waived.
5. When and how we pay
5.1 Each sale is held for 15 days from the order date. Each month closes at 11:59 pm US Eastern time on its last day. Sales that clear the hold before that cutoff are paid on the 25th of the next month, or the next business day if our payout provider needs it. The 25th is the day we send the money. It may take a few business days to reach you.
5.2 An approved Own Video fee is paid on the next monthly payout after approval. We pay by bank transfer through our payout provider. With your first payout our payout provider emails you a secure form for your bank details; your payout goes out once it is filled in.
5.3 We may hold an amount we reasonably think is linked to fraud while we look into it. We do not hold other earnings that are not in dispute. Amounts you earned under an earlier agreement stay payable under that agreement whether or not you sign this one.
5.4 The smallest payout is $25. A smaller balance rolls over to the next month. Payouts are in US dollars. We pay our own fee for sending a payout. Fees your bank charges, and any currency conversion fees, are yours.
5.5 We collect no tax form when you join. If the law requires us to report what we pay you, for example on a 1099-NEC form for a US partner, you agree to give us the details needed for that when we ask. You are responsible for your own taxes. We do not withhold tax unless the law requires it.
6. Own Videos and posting
6.1 On Affiliate Plus and Affiliate Pro you may send us Own Videos to review in the App. Each one must be your original work, follow the current content brief, carry the right disclosure, and use its own video Link when you post it.
6.2 We aim to review each video within 3 business days. We approve it, ask for specific changes, or decline it and say why. You get up to 3 rounds of changes, and we warn you before the last one. A video that still does not meet the brief after that may be declined and is not paid.
6.3 Approved videos are paid at your Program's rate up to the monthly limit in Schedule A1. A video past the limit is paid only if we agree in writing first.
6.4 How often you post is up to you. This agreement sets no weekly posting duty. The monthly limit in Schedule A1, now 8 paid videos, is the most we pay for in a month. It is not a number of videos you must make.
6.5 When a campaign asks for it, tag Balmve as a collaborator and turn on the branded content and Partnership Ad permissions the platform offers. If a post breaks these rules we may ask you to edit or remove it within 24 hours, including after you leave while the post is still up.
7. Content, disclosure and product claims
7.1 Say clearly in every post that you have a relationship with Balmve: commission, payment, free products or gifts. Make the disclosure easy to see and understand, in the post and in the video where that fits. A platform's partnership label on its own may not be enough.
7.2 Talk only about your own real experience. Do not invent results. Do not say a product treats, cures or prevents any disease. Use only the claims and assets Balmve has approved in writing. Do not give medical advice, promise results, or show before-and-after results we have not approved.
7.3 Follow advertising law, the platform's rules and the Balmve Creator SOP, where the SOP does not conflict with this agreement or the law. We may update the examples of what is not allowed at any time.
7.4 We may ask you to back up a claim, change a post or take it down. Even with a script or our approval, do not knowingly say something false. Balmve is responsible for claims it controls or edits into its own ads.
8. Who owns Own Videos
8.1 You keep the copyright in your Own Videos and you keep your social accounts. For each approved and paid Own Video you give EPETAH LLC a non-exclusive, worldwide, permanent, irrevocable, royalty-free, transferable and sublicensable licence to use, copy, show, share, publish, recut, adapt, caption and advertise with it, including your performance, name, image and voice as they appear in it, to promote Balmve. You also let us use your name, likeness, voice and social handle in and with each such video, worldwide, for as long as we use it, including after you leave. To the extent the law allows, you waive any moral rights in it. You cannot take back these permissions for a video already delivered.
8.2 We may make new edits, but we will not change your words to misstate what you said or suggest results that are not true. We clear any music, third-party material or other people your permissions do not cover.
8.3 While you are a Partner, keep the platform permissions that active campaigns need, when we reasonably ask. If those permissions end after you leave, our licence to the video stays, but running it as an ad depends on the platform's rules.
8.4 Orders placed after this agreement ends earn no new commission, even if we keep using a licensed Own Video. Eligible first orders placed on or before the end date still follow the 15-day hold, refund and payout rules. Edited versions of an Own Video, such as ads we cut from it, earn no further video fee. This replaces any earlier rule, including in the old Rulebook, that edited ads keep paying.
9. Play fair
9.1 The Fair Play Rules in Schedule A2 are part of this agreement. They cover self-referrals, fake engagement, banned promotions, coupon sites, brand keyword ads, misleading claims and fraud. After a fair review we may remove rewards that were not earned fairly and limit your access. We may act at once when the risk is serious.
9.2 You are free to work with other brands. You may not say you are a Balmve employee or official representative, or use our trademarks outside approved promotion.
10. Products and contact
10.1 Free products are for honest review or filming only, not for resale. They do not promise future paid work. We send you one product kit when you join, and refills when a brief needs them. We ship to US addresses only. A product counts as delivered when we ship it with tracking.
10.2 App chat is where day-to-day work happens. Legal notices and changes to this agreement go to the email on your account, so keep it up to date. A notice takes effect when we send it.
11. Confidential information
11.1 Do not share briefs that are not public, drafts, unreleased products, customer details, logins, other partners' earnings or other confidential information, unless we allow it or the law requires it. This continues after you leave. It does not cover information that is lawfully public or disclosures the law protects.
11.2 Do not collect customers' payment details or export data from the App unless we clearly allow it. Tell us straight away about any security problem involving Balmve information.
12. Ending the partnership
12.1 Either of us can end this agreement by email with 7 days' notice. We may pause or end your access sooner for suspected fraud, a serious breach, a safety risk or a legal reason, and we review any disputed earnings fairly.
12.2 When it ends, stop new promotion, stop using our marks, and turn off or remove Links when we ask. We may keep using approved content under section 8. What we already owe you, valid commissions on orders placed before the end date, confidentiality, the rights you gave, and the liability and dispute terms continue where they are relevant.
12.3 Fees and eligible commissions that were approved and are not in dispute are still paid on the normal schedule after the end. You never have to sign a new agreement to be paid what you already earned.
13. Independent status and taxes
13.1 You decide your own hours, equipment and methods, within the campaign deliverables and the content rules. You pay your own taxes, licences and expenses unless we agree otherwise in writing. This agreement does not create employment, employee benefits, a partnership, an agency or any promise of work.
13.2 You are an independent contractor everywhere you work, and you decide how, when and where you work. You are also responsible for your own insurance and for following the laws where you live. Nothing in this agreement makes you our employee.
14. Your data and privacy
14.1 Our privacy notice at https://partners.balmve.com/privacy explains how we collect and use your application, identity, social, payout and signing records, and your device and IP data. Nothing here takes away your privacy rights under the law.
14.2 That notice also explains how we keep your data, including encrypted payout details, who on our team can see it, how long we keep it, and transfers outside your country.
15. Responsibility
15.1 You are responsible for your own deliberate misconduct, unlawful promotion, and material you supply without permission. We are responsible for ads and claims we create or materially change. Each of us tells the other promptly about a related claim from someone else and helps with a reasonable defence.
15.2 Each side covers the other for claims caused by its own breach of this agreement or its own breaking of the law. The side asking to be covered tells the other side promptly and lets it run the defence.
15.3 Neither side is liable for indirect losses or lost profits. Our total liability to you is capped at what we paid you under this agreement in the 12 months before the claim. The cap does not apply to amounts we owe you for earned commission or video fees, to fraud, or to anything the law does not allow to be limited.
16. Changes
16.1 We may change future Program rates, limits or move-up rules with 14 days' notice. A change never takes away money you have earned or changes a paid brief you already accepted. You may leave before a change applies.
16.2 A material change to this agreement or to the Pay Per Brief Add-on needs your new electronic signature. Carrying on after a notice is not the same as signing again. No change can apply backwards to take away pay you have earned.
16.3 If documents disagree, the Pay Per Brief Add-on and the accepted brief decide for Pay Per Brief work, Schedule A decides Program levels and rates, and otherwise this agreement decides.
17. Earlier arrangements
17.1 This agreement covers activity from its effective date. It does not widen rights under creator agreements you signed before, including any three-month limit on paid Facebook and Instagram use. Widening those rights for an existing video needs a separate written amendment or licence.
17.2 Amounts earned through the previous portal or under earlier valid agreements are still owed on their own terms. Balances in the previous portal, the old Balmbare Partners app, are settled there. Nothing moves to this App.
18. Law, disagreements and signing
18.1 Wyoming law governs this agreement. Disputes go to the state or federal courts in Wyoming. Either side may use small claims court for a claim that qualifies. Before suing, the side with the problem emails the other, and both sides try for 30 days to sort it out. Notices to us go to the email address shown in the App. Notices to you go to the email on your account.
18.2 If any term cannot be enforced, the rest still applies as far as the law allows. This agreement and its schedules are the whole agreement about the Partner program going forward, apart from accepted Pay Per Brief terms.
18.3 By ticking the electronic signing consent, typing your legal name and signing, you mean to sign this agreement and you agree to receive it, other records and notices electronically. Your signature in the App is as valid as a handwritten one. We keep the text and its version, the time, your device, your signature and the sign-in records available to us, and we email you a copy. You can download a copy of what you signed from the App at any time. If you want a paper copy, email us.

Schedule A1. Program Terms
Schedule date: 4 Nov 2026
Your Program: (your level)
This table comes from the live Program settings in the App, so it always matches what the App pays. Your signed copy keeps the table as it was on the day you signed.
| Program | First-order commission | Approved Own Video fee | Paid Own Videos / month | Advancement review |
|---|---|---|---|---|
| Affiliate | 20% | None | None | $5,000 in attributable product sales |
| Affiliate Plus | 25% | $50 | Up to 8 | $10,000 in attributable product sales |
| Affiliate Pro | 30% | $75 | Up to 8 | Highest tier |
A1.1 Moving up needs Balmve's approval after you reach the threshold. Thresholds count your lifetime attributable product sales over your whole time with us, with refunded sales taken out. They are not a rolling period.
A1.2 Each video or campaign may have its own Link. An Own Video earns its fee only once it is approved. Sales earn commission on their own, under the first-order and tracking rules in section 4.
A1.3 Changes to Programs apply going forward, with notice under section 16. Payouts are monthly on the 25th, and a sale is approved after its 15-day hold. The most we pay for is 8 approved videos a month. This is a paid maximum, not a required number.
A1.4 Pay Per Brief is an optional add-on with its own signed terms. A brief pays the price agreed with you, never commission.
Schedule A2. Fair Play Rules
A2.1 Never buy through your own Link, or have relatives or anyone else buy through it to create commission.
A2.2 Never create fake, paid-for, recycled or otherwise artificial orders, and never buy followers, views, comments or clicks.
A2.3 Do not post Links on coupon, cashback or deal sites without our written permission. Do not run Google or other search ads on Balmve's names, misspellings or trademarks without our approval.
A2.4 No spam, misleading discounts, price promises we have not made, pretending to be someone else, or saying you work for Balmve.
A2.5 Every promotion carries the disclosures the rules require, your real experience, approved product claims, and only the platform tools that are allowed.
A2.6 Keep the original proof of your promotions and help with reasonable compliance checks. Fix or remove anything that is not allowed within 24 hours of our notice.
A2.7 If a rule is broken we may refuse or reverse only the earnings that were fraudulent or not eligible, pause Links, ask for a fix, or end the agreement for serious or repeated breaches. We tell you why, and you can dispute it. Commission on an order that is refunded, cancelled or charged back is taken out. If it was already paid, we take it from your next payouts, as set out in section 4.4. Commission from fraud, self-buying or breaking these rules is lost, and we may end the agreement as described above.
